This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by Immigrant Defenders Law Center ("Advertiser") and Microsoft Corporation ("Microsoft"). This Agreement outlines the terms and conditions under which Advertiser will use Microsoft Advertising services to promote its business.

2. Scope of Services

Microsoft agrees to provide advertising services through its Microsoft Advertising platform, enabling Advertiser to create, manage, and display advertisements to users across Microsoft’s network, including but not limited to Bing, MSN, and other partner sites. These services may include pay-per-click (PPC), cost-per-impression (CPM), and other advertising models as agreed upon.

3. Advertiser Responsibilities

The Advertiser agrees to:

  1. Provide accurate and up-to-date information about its business, including but not limited to the business name, address, phone number, email, and EIN.
  2. Comply with all applicable laws, regulations, and Microsoft Advertising Policies, including but not limited to:
    • Prohibiting misleading or deceptive content.
    • Ensuring that all advertisements are appropriate and do not violate intellectual property rights.
    • Avoiding prohibited content such as hate speech, illegal activities, or discriminatory practices.
  3. Maintain a valid payment method on file to cover all advertising costs incurred through the Microsoft Advertising platform.

4. Payment Terms

  1. Advertiser will be billed based on the agreed-upon pricing model (e.g., PPC, CPM).
  2. Payments must be made in U.S. dollars unless otherwise specified.
  3. Advertiser authorizes Microsoft to charge the payment method on file for all advertising expenses incurred.
  4. Late payments may result in suspension of advertising services until the account is brought up to date.

5. Intellectual Property

  1. Advertiser retains ownership of all intellectual property rights in the content it provides for advertisements.
  2. By submitting content to Microsoft Advertising, Advertiser grants Microsoft a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content solely for the purpose of delivering the advertising services.

6. Compliance with Laws

Advertiser represents and warrants that:

  1. Its business and all advertisements comply with all applicable federal, state, and local laws, including but not limited to immigration law, consumer protection laws, and data privacy laws.
  2. It has obtained all necessary licenses, permits, and approvals to operate its business and advertise its services.

7. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless Microsoft, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Advertiser’s breach of this Agreement.
  2. Any content provided by Advertiser.
  3. Advertiser’s violation of any law or third-party rights.

8. Termination

  1. Either party may terminate this Agreement at any time by providing written notice to the other party.
  2. Upon termination, Advertiser will remain responsible for all advertising expenses incurred prior to termination.
  3. Microsoft reserves the right to suspend or terminate Advertiser’s account immediately if Advertiser violates Microsoft Advertising Policies or applicable laws.

9. Limitation of Liability

  1. In no event shall Microsoft be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement.
  2. Microsoft’s total liability under this Agreement shall not exceed the total amount paid by Advertiser for advertising services during the preceding 12 months.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior or contemporaneous agreements, understandings, or representations.

12. Acceptance

By creating an account or using Microsoft Advertising services, Advertiser acknowledges that it has read, understood, and agrees to be bound by this Agreement.
